By accessing or using Omnidora ("the Service"), operated by Omnidora Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

Omnidora is a software-as-a-service (SaaS) platform that provides marketing agencies and businesses with tools for customer relationship management (CRM), marketing automation, AI-powered communications, social media management, and related marketing services.

3. Account Registration

To use our Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. Acceptable Use Policy

You agree NOT to use the Service to:

• Send unsolicited bulk emails (spam) or messages to recipients who have not opted in
• Violate any applicable laws, including CAN-SPAM, TCPA, GDPR, or CCPA
• Transmit malicious code, viruses, or harmful content
• Infringe on intellectual property rights of others
• Harass, abuse, or harm other users or third parties
• Engage in fraudulent or deceptive practices
• Attempt to gain unauthorized access to our systems
• Use purchased, rented, or scraped email/phone lists

5. Email and SMS Communications

When using our email and SMS features, you must:

• Only contact recipients who have given explicit consent
• Include accurate sender identification and physical mailing address
• Provide clear and functional unsubscribe mechanisms
• Honor opt-out requests within 10 business days
• Maintain records of consent for all contacts
• Comply with all applicable telecommunications regulations

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of your data. We process your data only as necessary to provide the Service. You are responsible for ensuring your use of customer data complies with applicable privacy laws and your own privacy policies.

7. Payment Terms

For paid subscriptions:

• Fees are billed in advance on a monthly or annual basis
• New subscribers are eligible for a 14-day money-back guarantee (see our Refund Policy)
• After the 14-day period, subscription fees are non-refundable
• Usage-based charges (SMS, calls, AI overages) are billed monthly in arrears and are non-refundable
• We may change pricing with 30 days notice
• Failed payments may result in service suspension

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Omnidora Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

9. Third-Party Integrations

Our Service integrates with third-party services (e.g., Twilio, Mailgun, social media platforms). Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for third-party service availability or performance.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNIDORA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Omnidora Inc. from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of third parties.

13. Termination

We may terminate or suspend your account at any time for violation of these Terms. You may cancel your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by the laws of the State of Washington, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in King County, Washington.
